By accessing or using the website operated by NorthCode Academy Inc. ("NorthCode Academy," "we," "our," or "us") at northcodeacademy.ca, and by enrolling in or using any of our educational programs, you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must discontinue use of the website and our services immediately.
You must be at least 18 years of age to use this website independently. Individuals under 18 may only access the site under the supervision of a parent or legal guardian who accepts these Terms on their behalf. Our Privacy Policy is incorporated into these Terms by reference and governs how we collect, use, and protect your personal data.
2. Description of Services
NorthCode Academy provides instructor-led IT education programs including, but not limited to, full-stack web development, data science and analytics, cybersecurity fundamentals, cloud engineering, UX/UI design, and DevOps and automation. Programs are delivered through in-person cohorts at our Toronto campus and, where specified, through hybrid or remote-access formats.
All programs, curricula, schedules, tuition rates, and related materials are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any program, feature, or content at any time without prior notice, although we endeavour to communicate material changes with reasonable advance notice to enrolled students.
3. Educational Disclaimer
NorthCode Academy is a private career education provider. We are not a degree-granting institution, and our programs do not lead to provincially or federally recognized academic degrees. Certificates of completion are issued by NorthCode Academy Inc. and reflect the curriculum completed within our programs.
While we provide career support services and maintain an employer partner network, we do not guarantee employment, specific salary outcomes, or job placement to any student or graduate. Outcome statistics published on our website are based on internal surveys and are subject to individual variation. Past cohort results are not indicative of future outcomes for any particular individual.
4. Acceptable Use
When using our website, learning platforms, or campus facilities, you agree not to:

5. Intellectual Property
All content on this website — including text, graphics, logos, icons, images, audio, video, course materials, software, and the underlying code — is the property of NorthCode Academy Inc. or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the website and enrolled course materials for your personal, non-commercial educational purposes only. You may not copy, modify, distribute, sell, lease, sublicence, or create derivative works from any content without our prior written permission. 6. Student Work and Portfolio Rights
You retain ownership of original work you create during your program (capstone projects, code repositories, design files). By enrolling, you grant NorthCode Academy a non-exclusive, royalty-free licence to use anonymized or attributed samples of student work for marketing, teaching, and portfolio showcase purposes, unless you opt out in writing within 14 days of program completion.
7. Tuition, Payments, and Refunds
Tuition fees are published on the relevant program pages and are subject to change for future cohorts. Enrolled students are bound by the tuition rate confirmed in their enrolment agreement. Payment is due according to the schedule agreed upon at enrolment, whether lump-sum, four-instalment, or third-party financing.
Refund eligibility is governed by our Refund Policy, a summary of which is provided in your enrolment agreement. In general, a full refund (less a $250 CAD administrative fee) is available if you withdraw before the end of the first week of instruction. Partial refunds on a pro-rata basis may be available during weeks two through four. No refunds are issued after the fourth week of instruction except where required by applicable Ontario consumer protection law.
8. Third-Party Services and Links
Our website and learning platforms may contain links to or integrations with third-party websites, tools, or services (such as cloud hosting providers, code editors, or collaboration platforms). NorthCode Academy does not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party service. Your use of such services is governed by their respective terms and policies, and you access them at your own risk.
9. Disclaimer of Warranties

To the maximum extent permitted by law, NorthCode Academy Inc., its directors, officers, employees, instructors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, loss of goodwill, business interruption, or personal injury — arising from or related to your use of or inability to use the website, programs, or services, regardless of the theory of liability.
Our total aggregate liability for any claim arising under these Terms shall not exceed the greater of: (a) the total amount you paid to NorthCode Academy in the 12 months preceding the claim, or (b) $100 CAD.
11. Indemnification

12. Force Majeure
NorthCode Academy shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, pandemics or public health emergencies, acts of war or terrorism, government actions or sanctions, labour disputes, internet or telecommunications outages, cyberattacks, power failures, or disruptions to cloud service providers. In such circumstances, we will make reasonable efforts to resume normal operations and communicate with affected students as promptly as practicable.
13. International Use

If you access our website from outside Canada, you do so at your own initiative and are responsible for compliance with local laws where applicable.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

Upon termination, your right to use the site and services ceases immediately. The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.
17. Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NorthCode Academy Inc. regarding your use of this website and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter herein.
19. Assignment
NorthCode Academy may assign, transfer, or delegate its rights and obligations under these Terms to any successor entity in the event of a merger, acquisition, or sale of assets without your prior consent. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
20. No Waiver
The failure of NorthCode Academy to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of a provision must be in writing and signed by an authorized representative of NorthCode Academy to be effective.
21. Modifications to These Terms
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via a notice on our homepage at least 14 days before the changes take effect. The "Last Updated" date at the top of this page will be revised accordingly. Your continued use of the website or services after the effective date of any modification constitutes your acceptance of the updated Terms.
